Attorney Lapera is a business transactional lawyer with more than 25 years of experience in sophisticated corporate, finance and commercial transactions, including merger and acquisitions, divestitures, debt and equity and venture financings, tax exempt financings, reorganizations, real estate and construction contracts and licensing agreements, joint ventures, partnerships and limited liability companies, securities offerings, and corporate finance and start up financings. He also represents clients in the organization and governance of non-profit organizations, including securing tax-exempt status.
Attorney Lapera has participated in numerous corporate transactions, including Counsel for a holding company which completed a $100 million reorganization and  demerger to separate domestic companies from foreign companies, a start-up solar energy company for $3 million in round one venture funding, a $3 million holding company which completed the sale of a synthetic column division, a real estate entity in the defeasance of a $4 million tax exempt financing (IDB bonds) and the conventional refinancing of a manufacturing facility, a transportation services company which completed a tax free reorganization to separate the trucking company from the transportation services company, Municipalities for the issuance of General Obligation Bonds and Bond Anticipation Notes, and counsel for construction and real estate development companies for the preparation and negotiation of construction and/or construction management agreements.
Attorney Lapera received his Juris Doctor degree Cum Laude from Syracuse University college of Law in 1980. He served as Managing Editor of the Syracuse Journal of International Law & Commerce, was a member of the Justinian Honor Society and a research assistant for Professor Martin Fried, author of Taxation of Securities Transactions, Volume 11B, Mathew Bender. He also received his MBA from the University Of Chicago Graduate School Of Business in 1980 and graduated from the University of Scranton in 1976 with a Bachelor of Science degree Cum Laude in Accounting and Political Science. Attorney Lapera is admitted to practice in Connecticut and New York. He has lectured on corporate planning and ethics, including seminars sponsored by WESFACCA.
